1. Introduction

Welcome to Solara ("we," "our," or "us"). Please read these Terms of Service (the "Terms") carefully as they govern your use of the Solara AI coaching service, including our website located at www.solara.com, our mobile applications, and all related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, do not use our Service.

Solara provides an AI-powered social intelligence coaching service that helps users improve their communication, influence, and relationship-building skills through personalized guidance. All coaching and advice is generated by artificial intelligence and is intended for informational and educational purposes only.

2. Definitions

  • Account: A registered account with Solara.
  • AI: Artificial intelligence.
  • Content: Any information, text, graphics, or other materials uploaded, downloaded, or appearing on the Service.
  • Subscription: A recurring payment plan for access to the Service.
  • User, you, or your: Any individual who accesses or uses the Service.

3. Eligibility and Account Requirements

3.1 Age Restrictions

  • You must be at least 18 years old to create an account without parental consent. Individuals under the age of 18 may only use the Service with the involvement and consent of a parent or legal guardian, who must agree to these Terms on the minor's behalf.
  • Individuals under the age of 13 may only use the Service with verifiable parental consent in accordance with the Children's Online Privacy Protection Act (COPPA). We reserve the right to terminate accounts of underage users who do not have proper parental consent.

3.2 Account Registration

  • To use the Service, you must create an account by providing a valid email address or using a third-party authentication service (such as Google). You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to immediately notify Solara of any unauthorized use of your account or any other breach of security.

3.3 One Account Per User

  • You may maintain only one active account with Solara. Multiple accounts registered to the same individual may be terminated without notice.

4. Subscription Terms

4.1 Subscription Plans

Solara offers subscription-based access to the Service. By subscribing, you agree to pay the fees for your selected subscription plan (monthly or annual) as described at the time of purchase.

4.2 Free Trial

We may offer a free trial period for new subscribers. Unless you cancel before the end of the free trial period, you will be automatically charged for the subscription when the trial ends. Free trial eligibility is determined at our discretion, and we reserve the right to limit free trial access.

4.3 Automatic Renewal

IMPORTANT NOTICE: ALL SUBSCRIPTIONS AUTOMATICALLY RENEW UNTIL CANCELED. By subscribing, you authorize us to charge your payment method on a recurring basis for the subscription plan you selected (monthly or annually) until you cancel.

Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. For monthly subscriptions, you will be billed each month on the same day of the month as your original purchase date. For annual subscriptions, you will be billed once per year on the anniversary of your purchase date.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@solara.com. Upon cancellation, you will continue to have access to the Service until the end of your current billing period. We do not provide partial refunds for unused portions of a subscription period.

If you cancel during a free trial period, your access will end immediately.

4.5 Refunds

All purchases are final and non-refundable, except as required by applicable law. In the European Union, you have a 14-day right of withdrawal for digital content services unless you have explicitly consented to waive this right by agreeing to immediate performance and acknowledging that you will lose your withdrawal right once the service is fully performed.

You may withdraw from your subscription within 14 days of your initial purchase if you have not accessed any paid features. By accessing the Service, you expressly agree to waive your withdrawal right under applicable EU consumer laws.

4.6 Pricing and Changes

All prices are shown in US Dollars (USD) unless otherwise specified. We reserve the right to change our subscription fees at any time. If we change the fees for your subscription, we will notify you by email at least 30 days before the change takes effect. If you do not agree to the price change, you may cancel your subscription before the change takes effect; otherwise, the new price will apply to your next billing cycle.

4.7 Payment Processing

Payment processing services are provided by Stripe. By subscribing to Solara, you agree to be bound by Stripe's terms of service, which can be found at https://stripe.com/legal. You agree to provide accurate and complete payment information and authorize us to charge your chosen payment method for all fees incurred.

4.8 Failed Payments

If a payment fails, we will attempt to process the charge again within a few days. If the payment continues to fail after multiple attempts, your subscription may be suspended or terminated. You are responsible for ensuring your payment information is current and valid. We reserve the right to use third-party services to recover outstanding fees.

5. Acceptable Use Policy

5.1 Prohibited Uses

  • Violate any applicable law, regulation, or these Terms;
  • Harass, abuse, threaten, or incite violence towards any individual or group;
  • Attempt to prompt the AI to produce hateful, harassing, sexually explicit, or illegal content;
  • Use the Service for generating content that infringes on intellectual property rights;
  • Attempt to bypass any content filters or restrictions;
  • Access, tamper with, or use non-public areas of the Service or Solara's computer systems;
  • Test the vulnerability of the Service or breach any security measures;
  • Interfere with, disrupt, or create an undue burden on the Service or networks connected to the Service;
  • Impersonate or misrepresent your affiliation with any person or entity;
  • Use the Service to develop competing AI coaching services;
  • Use the Service for commercial purposes without our prior written consent;
  • Attempt to game or manipulate the AI to provide unsafe or harmful advice;
  • Use the Service as a replacement for professional psychological, medical, legal, or financial advice; or
  • Use the Service for high-risk contexts where harm to individuals could result from reliance on the AI's output.

5.2 Content Guidelines

All interactions with the Service should maintain a respectful tone. We reserve the right to moderate user inputs and AI responses, and to restrict or terminate access if you consistently attempt to generate harmful content.

5.3 No Professional Advice

You understand and agree that the Service does not provide professional advice. Solara is not a substitute for professional therapy, counseling, medical advice, legal counsel, or financial advice. The AI coaching is intended for informational and educational purposes only.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its entire contents, features, functionality, and design elements, is owned by Solara and its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service, our trademarks, or any content provided through the Service.

6.2 Your Content

You retain all rights to any information you provide to the Service ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content for the purpose of providing and improving the Service.

6.3 AI-Generated Content

  • You are granted a personal, non-exclusive, non-transferable license to use the AI-generated responses from the Service for your personal, non-commercial use. This license does not permit you to:
    • Sell, license, or distribute the AI-generated content to third parties;
    • Use the AI-generated content to train another AI model;
    • Claim ownership of or authorship over the AI-generated content; or
    • Remove any attribution or copyright notices from the AI-generated content.
  • AI-generated content is not owned by you. You may not assert intellectual property rights over any content produced by the Service.

6.4 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, display, distribute, modify, and create derivative works of the Feedback for any purpose without compensation to you.

7. AI Disclaimers and Limitations

7.1 AI-Generated Content

All coaching, advice, and other content provided through the Service is generated by an artificial intelligence system. The AI system uses algorithms to process information and generate responses, which may sometimes be incorrect, incomplete, or not tailored to your specific situation.

Some anonymized conversation interactions may be logged and reviewed for the purpose of improving model accuracy, safety, and personalization features. You may opt out of this use in your account settings or by contacting us.

7.2 No Guarantee of Accuracy

We do not guarantee the accuracy, completeness, reliability, or appropriateness of the AI-generated content for your specific needs or circumstances. The AI may occasionally provide responses that contain errors, misinterpretations, or inappropriate suggestions.

7.3 Limited Context and Knowledge

The AI has a knowledge cutoff date and does not have real-time information. It does not have the ability to access external websites, run programs, or interact with other systems except as explicitly implemented by Solara.

7.4 No Substitute for Human Judgment

You acknowledge that the AI is not a human coach and that you should use your own judgment when considering and applying any advice or guidance provided through the Service. You are solely responsible for any decisions or actions you take based on information obtained through the Service.

7.5 No Emergency Use

The Service is not designed for emergency situations. If you are experiencing a crisis, emotional distress, or thoughts of self-harm, please seek help from a trained professional, contact a crisis hotline, or seek emergency services immediately.

8. Limitation of Liability

8.1 Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

To the maximum extent permitted by applicable law, Solara and its directors, employees, agents, suppliers, partners, and content providers make no warranties and disclaim all liability for:

  • The completeness, accuracy, availability, timeliness, security, or reliability of the Service;
  • Any harm to your computer system, loss of data, or other harm that results from your access to or use of the Service;
  • Any actions taken, decisions made, or outcomes resulting from your use of the Service; or
  • The deletion or failure to store or transmit user content or communications maintained by the Service.

8.2 Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Solara, its affiliates, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service;
  • Any conduct or content of any third party on the Service;
  • Any content or advice obtained from the Service; or
  • Unauthorized access, use, or alteration of your transmissions or content.

Solara's total liability to you for any claims arising from or related to these Terms or the Service will not exceed the amount paid by you to Solara for the Service during the twelve (12) months preceding the claim.

The limitations of this section shall apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence), or otherwise, and whether or not Solara has been informed of the possibility of any such damage.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless Solara, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, any use of the Service's content other than as expressly authorized in these Terms.

10. Dispute Resolution

10.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

If you are a resident of the European Union, the governing law and dispute resolution provisions may not deprive you of protections under your local mandatory consumer protection laws.

10.2 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Solara agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

The arbitration will be conducted by JAMS under its applicable rules. The arbitration will be conducted in San Francisco, California, unless you and Solara agree otherwise. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND SOLARA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

10.4 Opt-Out Right

You have the right to opt out of the arbitration agreement by notifying us in writing within 30 days of accepting these Terms. To opt out, you must send an email to legal@solara.com with the subject line "Arbitration Opt-Out" and include your name and a statement that you opt out of the arbitration agreement.

10.5 Small Claims Court

Notwithstanding the foregoing, you and Solara may bring an individual action in small claims court.

10.6 Alternative Dispute Resolution for EU Consumers

If you are a consumer located in the European Union, you may also file a complaint via the EU Online Dispute Resolution platform, available at https://ec.europa.eu/consumers/odr.

11. Termination

11.1 Termination by You

You may terminate these Terms at any time by closing your account and discontinuing use of the Service. If you terminate these Terms while a paid subscription is active, your termination will take effect at the end of your current billing period.

11.2 Termination by Us

  • We may suspend or terminate your access to the Service, without prior notice or liability, for any reason, including, but not limited to:
    • A breach of these Terms;
    • At the request of law enforcement or other government agencies;
    • Due to unexpected technical issues or problems; or
    • If we decide to discontinue the Service.

Upon termination, your right to use the Service will immediately cease.

11.3 Effects of Termination

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We may modify these Terms from time to time. We will notify you of any material changes by sending an email to the address associated with your account or by posting a notice on our website or mobile application. Your continued use of the Service after such notification constitutes your acceptance of the modified Terms.

If you do not agree to the changes, you must stop using the Service and cancel your subscription. Material changes to these Terms will be effective 30 days after the notification, except where the changes address new functions for the Service or changes made for legal reasons, which will be effective immediately.

13. Special Provisions for Minors and Parental Consent

13.1 Parental Consent Required

  • If you are under 18 years of age, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. If you are under 13 years of age, your parent or guardian must provide verifiable parental consent as required by COPPA.

13.2 Parental Responsibilities

  • Parents or legal guardians who consent to their child's use of the Service:
    • Acknowledge that the Service involves AI-generated content that is not reviewed by human moderators in real-time;
    • Are responsible for supervising and monitoring their child's use of the Service;
    • Have the right to review their child's account information and chat history;
    • May request the deletion of their child's personal information; and
    • May revoke their consent at any time, which will result in the termination of the child's account.

13.3 Content Limitations for Minors

  • We make reasonable efforts to limit certain content for accounts designated as belonging to minors, but we cannot guarantee that all inappropriate content will be filtered. Parents should monitor their child's use of the Service.
  • We use automated filters and moderation tools to reduce exposure to inappropriate content, but we cannot guarantee complete filtering. Parents and guardians should monitor and guide their child's usage.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms to which you agree when using particular elements of the Service, constitute the entire agreement between you and Solara regarding the Service.

In the event of a conflict between these Terms and the Privacy Policy, these Terms will govern with respect to Service access and use, while the Privacy Policy governs our handling of your personal information.

14.2 Waiver and Severability

The failure of Solara to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

14.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Solara's prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. Solara may assign or transfer these Terms, at its sole discretion, without restriction.

14.4 Force Majeure

Solara shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond Solara's reasonable control, including but not limited to, mechanical, electronic, or communications failure or degradation.

14.5 No Third-Party Beneficiaries

These Terms are for the benefit of you and Solara only and are not intended to benefit any third party or be enforceable by any third party.

14.6 Export Control

You agree to comply with all applicable export and re-export control laws and regulations in your use of the Service.

14.7 Relationship of the Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and Solara.

14.8 Geographic Restrictions

The Service is based in the United States and is provided for access and use primarily within the United States. We make no claims that the Service or any of its content is accessible or appropriate outside of the United States. Access to the Service may not be legal by certain persons or in certain countries.
